Pursuant to the Law on Organization of the Government dated 19 June 2015 and the Law on Commerce dated 14 June 2005 providing for the establishment of representative offices and branches of foreign traders in Vietnam; foreign traders are licensed to establish branches in Vietnam in the following cases:
- The Foreign traders are entitled to establish and register for doing business under the provisions of laws of countries or territories being parties to treaties to which Vietnam is a signatory or is recognized by the aforesaid countries or territories;
- The foreign trader has come into operation for at least 5 years from the date of establishment or registration;
- The enterprise registration certificate or equivalent document of a foreign trader is valid for at least 01 more year from the date of submission of the application
- The scope of operation of the branch is conformable with Vietnam’s Commitments to market access stipulated in treaties to which Vietnam is a signatory shall be consistent with lines of business of the foreign trader.

Foreign companies establish branches in Vietnam
The process of granting branch establishment license for foreign traders:
Step 1: Preparing documents to be granted Licenses for Establishment of branches, documents include:
- An application form for license for establishment of the branch using the form promulgated by the Ministry of Industry and Trade and signed by a competent representative of the foreign trader
- Copies of the enterprises registration certificate of the foreign trader
- Decision on appointing the head of the branch
- A copy of the audited financial statement or a document certificates of fulfillment of tax or financial obligations
- Copies of the Branch Charter
- Copies of passport of the head of branch
- Documents on the expected location where the branch shall be located
Step 2: The foreign trader submits their application to licensing agency
Step 3: The licensing agency shall check and request supplementation of documents if they are invalid. The licensing agency shall send a written request to the specialized management ministry for approval within 3 working days after receiving full valid dossiers.
Step 4: Receiving result: The foreign trader or his/her representative shall receive Licenses for Establishment of branches on the set date specified in the receipt.
REMARKS
- Foreign traders are entitled to establish representative offices and branches in Vietnam according to Vietnam’s commitments in international treaties to which Vietnam is a contracting party;
- Each foreign trader shall not establish more than one representative office or branch with the same name inside a province or city directly under central government.
